The PACE program had participants residing in the Skilled Nursing Facility (“SNF”) upon operator take-over of the facility pursuant to an Asset Purchase Agreement. Despite sufficient notice, the PACE organization failed to remit payment to SNF for valid resident stays, initially claiming that the new operator was bound to a pre-acquisition contracted bed rate. The experienced Attorneys at KAY GHAD secured a significant settlement for the SNF by skillfully demonstrating the fallacy of the PACE organization’s defense, in part based upon a lack of contract privity with the new SNF operator post-asset purchase.
